1What this platform is
AdSTARS Connect is a marketplace and administration platform operated by INFINITY ADSTARS GROUP LTD. It introduces businesses ("clients") to independent marketing specialists ("specialists"), generates contract documents from an agreed brief, holds milestone funds in escrow through a regulated payment provider, tracks delivery, and adjudicates milestone disputes under the Escrow terms.
AdSTARS Connect introduces businesses to independent marketing specialists and administers the engagement. It is not a party to the contract between them, does not perform the contracted marketing work, and does not warrant its commercial outcome.
- —Specialists are independent. They are not employees, workers, agents, subcontractors or partners of INFINITY ADSTARS GROUP LTD.
- —INFINITY ADSTARS GROUP LTD does not select, direct or supervise the work a specialist performs. The client does.
- —Nothing on the platform is professional, legal, financial or investment advice, including AI-generated audits, briefs, matches and copilot output.
- —AdSTARS Agency is a separate managed marketing service operated by the same group. It receives no placement advantage in shortlists or in the directory.
2Eligibility and accounts
- —You must be at least 18 and able to enter a binding contract.
- —Where you register on behalf of an organisation you confirm you are authorised to bind it, and "you" means that organisation.
- —Account details must be accurate and kept current. A specialist must complete identity verification before appearing in any shortlist or in the public directory.
- —You are responsible for activity under your account and for keeping your credentials secure. Tell us at info@adstars.app as soon as you suspect unauthorised access.
- —One account per person or organisation. Duplicate, resold and transferred accounts may be closed without notice.
3Briefs, matching and proposals
A brief is generated from what you describe and is editable by you before it is used. You are responsible for its accuracy: it becomes the scope the contract is generated from and the standard a dispute is judged against.
Matching scores eligible verified specialists against your brief and returns a shortlist with the reasons behind each match and the concerns attached to it.
- —Shortlist placement cannot be purchased, boosted or sponsored. No advertising placement is sold within shortlists or the directory.
- —A shortlist returns up to five specialists, and fewer where fewer genuinely match. It is a recommendation, not a warranty of suitability.
- —You are never limited to the shortlist. You may edit the brief and re-run matching, or invite any specialist from the directory to propose.
- —A proposal is an offer from the specialist. No contract exists until you accept one and both parties complete the in-app signature.
Matching output is decision support. The decision to engage a specialist, and responsibility for that decision, is yours.
4Contracts between clients and specialists
When a proposal is accepted, the platform generates a contract from the approved brief and the accepted proposal. That contract is between the client and the specialist. INFINITY ADSTARS GROUP LTD is not a party to it.
- —The contract assigns deliverables and the usage rights specified in it to the client on milestone release, subject to payment.
- —Source files, account access and handover documentation transfer only where they are named as deliverables in the scope. Put them in the brief if you need them.
- —Neither party may vary a signed milestone scope unilaterally. Variations are agreed in the workspace and become part of the record.
- —Each party is responsible for its own tax, social-security and regulatory obligations arising from the engagement.
5Fees
Creating an account, running the AI audit, briefing, matching, verification, submitting proposals and raising a dispute are free to both sides.
A platform commission is deducted from each milestone at the moment it releases from escrow to the specialist. The client funds and pays the agreed milestone amount with no additional platform fee. The current rate is published on the pricing page.
- —No commission is charged on a cancelled or refunded milestone, because nothing released.
- —Payment processing costs are charged by Stripe on the funding method used, are shown before a payment is confirmed, and are not retained by INFINITY ADSTARS GROUP LTD.
- —Commission rate changes are notified in advance under these terms and do not alter milestones already funded.
- —Enterprise and agency terms, including negotiated commission on committed volume, are agreed in writing and may differ from the published rate.
6Taking work off-platform
Where a client and specialist were introduced by the platform, moving that engagement off-platform to avoid commission is a breach of these terms.
It also removes every protection the introduction came with: escrow, the dispute process, the delivery record, and the verified review history that follows from released milestones.
- —Soliciting off-platform payment, or offering to, may result in verification being withdrawn and the account closed.
- —This does not restrict a relationship that existed before the platform introduced the parties, and does not operate as a general restraint on either party working with anyone.
7Your content and the licence you give us
You keep ownership of everything you upload: briefs, proposals, deliverables, profile content, case studies and articles.
- —You grant INFINITY ADSTARS GROUP LTD a non-exclusive licence to host, store, reproduce and display that content strictly to operate the platform and the features you are using.
- —For content you deliberately publish — a public profile, a case study, a knowledge article, a share card — that licence extends to displaying it publicly, and ends when you withdraw the publication.
- —You confirm you have the rights to what you upload, including any client material inside a case study, and that publishing it breaches no confidentiality obligation you are under.
- —Publishing a result that involves a client requires that client's recorded consent, which the client may revoke at any time.
8Acceptable use
The Acceptable use and content policy forms part of these terms. In summary: do not misrepresent identity, credentials or results; do not manipulate reviews; do not attempt to buy placement; do not use the platform for anything unlawful.
9Suspension and closure
- —You may close your account at any time. Closure does not cancel milestones already funded, contracts already signed, or disputes already open — those complete under these terms.
- —INFINITY ADSTARS GROUP LTD may suspend or close an account for breach of these terms or the acceptable use policy, for misrepresentation, or where required by law or by our payment provider.
- —Where an account is suspended with funds in escrow, those funds remain subject to the Escrow terms and are released, split or refunded under the ordinary rules — suspension is not forfeiture.
- —We give reasonable notice and a statement of reasons unless doing so would be unlawful or would frustrate an investigation.
10Availability and change
- —The platform is provided as-is and as-available. We do not warrant uninterrupted or error-free operation.
- —Features may be added, changed or withdrawn. Material changes that affect your rights are notified before they take effect.
- —These terms may be updated. Continued use after the effective date of an update constitutes acceptance; where an update materially reduces your rights you will be notified in advance and may close your account instead.
11Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
- —Subject to that, INFINITY ADSTARS GROUP LTD is not liable for the performance, quality, timeliness or commercial outcome of work contracted between a client and a specialist.
- —We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings.
- —Our aggregate liability arising from your use of the platform is limited to the total commission we received on your engagements in the twelve months before the claim arose.
- —INFINITY ADSTARS GROUP LTD is not a bank and does not provide banking, credit, deposit-taking, payment-institution or investment services. Milestone funds are held by Stripe, our regulated payment provider. They are not bank deposits and are not covered by any deposit guarantee or compensation scheme.
12Governing law
These terms are governed by the laws of Cyprus, and the courts of Cyprus have exclusive jurisdiction over any dispute arising from them.
This does not remove any right you have to bring proceedings in your own country of residence where consumer protection law gives you that right.
